Corporate Counsel The candidate will be assisting on the negotiation, drafting, interpretation and enforcement of commercial, customer, marketing, supplier and agreements. Will be managing company s disputes, litigation and claims (e.g., responding to subpoenas, working with outside counsel to assist in responding to discovery). Review of marketing and promotional materials and intellectual property matters. Labor and employment matters. Corporate governance. Real estate matters. The development of policies and monitoring compliance. The development of templates and processes. Providing legal training to business associates. The candidate should have Juris Doctorate and active state bar membership and 6+ years of directly related broad based experience in a law firm or as in-house counsel. Must have 5 years of attorney transactional experience. Experience in drafting, negotiating, reviewing and evaluating major contracts is required. Must have transactional drafting and negotiating experience. Must have knowledge of the proper content of agreements and ability to understand and evaluate terms and contract language proposed by counterparties to determine which items are and are not negotiable. Knowledge of negotiation strategy and tactics, including the ability to apply appropriate strategies during negotiations is required. Knowledge of and ability to analyze effect of company policies on business activities is required. Basic knowledge of litigation practice and procedures (e.g., lawsuits, discovery, document production) is required. Strong Verbal Communication Skills, Organizational Skills, Multi-Tasking Skills, Interpersonal Skills, Business Acumen, Technical Skill and Computer Knowledge, Wrike is a plus. Exposure to US government contracting is preferred. Exposure to Employment Labor Law is preferred. Must be able to manage and work well with others and assist with special projects assigned by CEO.
