Counsel III - Compliance The candidate will assist the Chief Compliance Officer in all aspects of Corporate and Operational Compliance centering upon the rules and regulations mandated by the PA PUC, FERC, and NERC, as well as other regulatory agencies. Will assist the Chief Compliance Officer with maintaining, updating as appropriate, and educating personnel regarding best practices, partnering with the business units on compliance activities, monitoring and reporting results of compliance and ethics efforts of the Company, and providing guidance on matters related to compliance. Play a key role in implementing all necessary actions to ensure achievement of the objectives of an effective compliance program including, but not limited to, the development and revision of policies and procedures for the general operation of the Corporate and Operational compliance programs; collaboration with other departments to direct compliance issues for investigation and resolution; responding to alleged violations of rules, regulations, policies, and procedures; leading investigations on potential compliance concerns; identifying potential areas of compliance vulnerability and risk; develop/implement corrective action plans for resolution of problematic issues; ensure proper reporting of violations or potential violations to duly authorized enforcement agencies, as appropriate; and maintaining an effective compliance communication program for the Company, including promoting the use of the Compliance Hotline, a heightened awareness of the Policies for Ethical Conduct, and an understanding of new and existing compliance issues and related policies and procedures. Manage outside counsel and third party consultants, as necessary. Work closely and collaboratively with all business units of Company (Operations, Customer Service, IT, etc.) to enhance and continuously improve the culture of compliance within Company. Must have a university/college degree. Should have an LL.B., L.L.M or J.D degree. Must have 3+ years of relevant experience. Certifications are desired. In-house or large law firm experience is preferred. Must hold an active license to practice law in Commonwealth of PA.
