Senior Corporate Counsel

Senior Corporate Counsel The candidate will be reporting to the General Counsel. Will provide contracts drafting, negotiation, and management, as well as general commercial advice. Review, draft, negotiate and interpret inbound and outbound software license agreements, as well as subscription/cloud, distributor and reseller agreements. Manage a team of experienced contracts managers and serve as primary escalation point for outbound contract matters. Lead legal operations initiatives, including improving department policies and procedures, training, technology solutions, and other areas. Work with cross-functional teams in defining, developing and revising SaaS/cloud terms and conditions, contract templates, licensing models, partner and channel programs and related corporate policies, procedures and programs.

Must have excellent academic and law firm credentials, admitted into and in good standing with the California state bar. Should have 7-10 years of technology transactional experience - drafting, reviewing, negotiating, and advising on a variety of customer and partner transactions such as license agreements (perpetual and subscription), SaaS, professional services, reseller, OEM, strategic partnerships, consulting partnerships, and inbound/outbound licensing agreements. Understanding of SaaS solutions, data privacy and data security required. Must have previous in-house experience at a software or technology company with cloud solutions. Strong commercial experience with and understanding of contracts management principles and ability to craft and implement legal policies and training preferred. Government contracting experience desired. Knowledge of anti-competition and antitrust laws as related to working with partners, especially channel and distribution partners an advantage.
