Corporate Counsel The candidate will be providing legal support and advice to the Chief Operating Officer and other senior staff at Risk Review, including the review and analysis, for legal sufficiency and business soundness, of various documents, decisions and initiatives relating to the company s growing global operations and managed services business. Will be coordinating the formation and establishment of domestic and international business operations, including analysis and advice regarding location, employment, taxation, licensure and other issues. Drafting, reviewing and negotiating the company s business process outsourcing agreements, including master services agreements, statements of work, NDAs, Request for Proposals terms and conditions and other agreements. Incorporating stakeholder feedback on business, financial and compliance obligations, contract terms and provisions. Coordinating with IBM on organizational obligations and intercompany agreements with respect to seconded employment matters, joint delivery of services and technology, and other support activities. Negotiating with senior legal counsel or hired outside counsel for clients, vendors, partners, internal divisions and other entities. Drafting and reviewing the company s operating agreements, including equipment leases, real estate agreements, loan documents and other agreements. Supporting the Director of (Facilities) Operations on space management, insurance and business continuity issues. Supporting the Director of Human Resources on employment practices, including review, analysis and negotiation of employment and retention agreements, and advising regarding personnel actions. Supporting the Compliance Officer and Chief Technology Officer with compliance obligations with respect to applicable laws and client requirements; managing legal, operational and reputational risk; and the development, implementation and oversight of the company s policies and procedures and other internal controls. Collaborating with Compliance, Technology and Operations to ensure contracts are executed in accordance to contractual obligations. Overseeing and coordinating the work of outside counsel, both in the United States and abroad. Supervising the activities of Risk Review s Contract Administrator, including but not limited to tracking of document reviews and priorities, maintenance of contract libraries, matrices and templates, and other organizational support.

The candidate should have J.D. degree and 5-8 years of directly related legal experience. Must have ability to produce quality work product on tight deadlines. Must have excellent interpersonal skills,effective oral and written communication skills. Must be familiar or comfortable contracting in jurisdictions outside of United States. Deep experience reviewing, drafting and negotiating complex commercial contracts is mandatory. Additionally, experience in the areas of managed services, business process outsourcing, off-shoring, and sales lifecycle support is highly preferred. Prior experience in Financial Services and Risk and Compliance industries is strongly preferred. Some travel involved, primarily for on-site negotiations of client contracts.
