Corporate Counsel The candidate will advise the Corporation and assist the Chief Securities Counsel on a variety of corporate, intercompany and financing transactions as well as governance, securities reporting and compliance matters. Handle inter-company transactions and routine corporate law matters, including subsidiary reorganizations. Assist with '34 Act filings such as annual reports on Forms 10-K and 10-Q, proxy statements, Section 16 reporting obligations (including insider securities transaction compliance). Assist with Securities offerings under the '33 Act, including debt and equity security offerings. Handle day-to-day compliance matters related to financing arrangements such as revolving and term loans, accounts receivable facilities and compliance related to such arrangements. Assist with ongoing mergers and acquisitions and corporate governance matters, including compliance with NYSE requirements. Serve as legal resource on procurement, supply chain and vendor agreements. Assist paralegals on complex subsidiary management issues and legal entity governance. Draft resolutions and assist in the preparation for Board of Directors meetings. Assist on equity plan and executive compensation matters and special projects, at the request of Chief Securities Counsel. The candidate should have Juris Doctorate degree from an ABA approved law school. Must have 2-5 years of relevant experience, preferably in corporate and/or securities law. 2+ years experience with reputable law firm required. Experience with public corporations and corporate governance is preferred. Admission to practice in at least one U.S. state a must. Top academic credentials essential. Hands-on legal professional possessing outstanding technical, analytical skills, communication and influencing skills. Proven maturity level / presence with senior executives, good presentation skills. Ability to work autonomously in an organized, detailed manner under tight deadlines. Excellent communication skills, ability to present complex information in simple terms.
