Corporate Counsel The candidate will provide input on complex and sensitive legal and business issue. Will advise internal clients in a way that advances the company's strategy while addressing legal and regulatory risks and preserving and protecting the company's integrity and reputation. Provide, prompt, strategic, useful and thorough input to internal clients and senior management regarding complex and wide-ranging legal problems. Provide legal advice and counsel to internal clients at all levels within the commercial, industrial, clinical and research and development operations not only within the firm s Pasteur and Protein Sciences, and will support day to day initiatives and long-term strategies of both organizations. Assist with investigations, the resolution of disputes and litigation, as needed. Provide prompt assistance to the clients with their requests for legal assistance. Prioritize numerous, and often conflicting, requests for assistance and offer superior service in a timely and complete manner. Manage the review and negotiation of certain corporate contracts, amendments and renewals, requiring an intricate knowledge of the Company s needs and expectations. Work with clients to assist them with adherence to the Company s policies, understand legislative developments that may impact our business, and work through direct and indirect management of both internal and external resources. Know when to raise issues with the Head of Legal Affairs US and/or the the firm's Pasteur Global General Counsel, and in-house staff and outside counsel. Responsible for the preparation, review and analysis of a variety of commercial legal agreements, and for counseling various client groups such as Commercial Operations, Industrial Affairs, Clinical Operations, R&D and Purchasing. The candidate must have a BA/BS and Juris Doctorate degree from an accredited law school. Should have significant experience in drafting, negotiating and providing counsel on commercial transactional matters. Should have 3+ years of legal experience. Experience of in-house for a pharma/biotech company, or in an outside firm on healthcare-related matters is preferred. Should have proficiency with Word, Excel and other corporate standard software.
