Senior Vice President, General Counsel and Corporate Secretary The candidate reports to the President and CEO. Serves as a member of the senior leadership team, reporting directly to the Chief Executive Officer. Provides counsel to the leadership team and Board of Trustees on a range of commercial, compliance, corporate governance and employment matters. Ensures the organization s management understands potential risks associated with policies, procedures, and business decisions. Assures coordination of activities of departments under the position's direction. Represents the organization s position on legislation and regulatory affairs to elected representatives and their staffs as well as to officials and staffs in regulatory and other agencies. Represents the organization s interests in dealings with industry or professional organizations as well. Provides comprehensive health policy services for the company at the state, national and federal level. Coordinates policy input with the Blue Cross Association. Responsible for the development and implementation of all corporate compliance programs and counsels senior executives, including the CEO and the Board on compliance matters. Directs the provision of legal services and counsel for the organization and serves as primary counsel for various significant corporate initiatives and/or complex issues. Oversee the selection, retention and management of outside counsel, as needed. Designs and administers a comprehensive and effective ethics and privacy program across the enterprise and works to promote a corporate culture encouraging ethical business conduct and a commitment to compliance with the law. Provides exemplary, innovative, transparent and inspired executive leadership for firm. Communicates openly and candidly with all constituents, including the Board of Directors, the membership, the community, and employees, the key initiatives and programs that the company is undergoing to strengthen its position and mission to serve the community. Ensure an ethical working environment, such that firm operates in compliance with state and federal law, regulatory organizations and business partnerships.

The candidate should have Juris Doctorate degree. North Carolina Bar admission or Reciprocity is required (or passing Bar within 12 months of employment). Should have 15+ years of progressive leadership in a legal field. Excellent negotiating skills and business acumen is essential. Must have exceptional writing, analytical and communication skills, including the ability to translate complex legal issues into business terms. Experience with strategic and business planning methods, tools and processes is essential. Should have solid track record of successful large project implementations. Should have strong business orientation with solid operations and financial acumen.
