Associate Tax Counsel Essential Functions/Accountabilities: Enjoy developing creative solutions to complicated tax issues. Be a clear thinker and communicator. Possess strong writing, tax research, and analytical skills. Have experience structuring and documenting tax planning for real estate transactions, including, tax-deferred exchanges, options, leases, and joint ventures. Have thorough knowledge of mechanics of Subchapters K and S, as well as exposure to the application of the at-risk and passive activity loss rules. Have exposure to gift, estate, and related tax planning strategies available to the owners and successors in interest of family-owned and closely-held businesses. Remain current in the areas described above. Develop, subject to departmental need and approval, expertise in at least one of the following areas of tax: US international (outbound), SALT, real estate, or farming. Possess the ability to develop rapport and strong working relationships with colleagues from both within and outside the organization, and across business functions. The candidate must have a Juris Doctor and be licensed to practice law in California (a Juris Doctor from an ABA accredited law school is highly preferred). Should have 3+ years of post-graduate professional legal experience in a law firm or in-house counsel setting. Attorneys with at least five (5) years such experience are preferred. Excellent written and verbal communication skills. Ability to communicate effectively with other professionals in the legal department and business teams is required. Detail oriented with excellent judgment and analytical skills. Proficient in Microsoft Word, MS Outlook, Excel and related software programs. Familiarity with legal research tools and databases, such as LexisNexis, Lexis Advanced, CEB and others. Legal research and writing, Lexis Nexis, Lexis Adanced, CEB and others. Decision Making. Time Management. Proficient with Mirosoft Office Suite and tax related software.
