Senior Counsel, Contracts The candidate will be responsible for the negotiation, preparation and administration firm's contracts, ensuring that the contracts are advantageous to the firm, minimize vendor risk and maintained in accordance with firm's policies and practices. Will supervise the Legal Contracts team in performance of the following: Conduct complex contract drafting, review, redlining, administration and document management for contracts with Firm's inventory and non-inventory vendors; Analyze and advise on language changes and modified text within agreements requested by Firm business owners and other stakeholders, vendors and suppliers; Manage correspondence throughout the contract and negotiation processes and communicate any necessary information to internal stakeholders or department leadership; Facilitate the contract documentation, approval and signature processes and ensure all contractual obligations are in adherence with company policies, regulatory requirements and business strategy; Ensure integrity and completeness of department databases including SharePoint; Develop and maintain template agreements and conduct version control for exhibits, amendments and other necessary documentation; Represent the Legal Contracts team on cross-functional projects or initiatives; Work with subject matter experts to assess relevancy of applicable laws and regulations to contracts and address associated compliance risks in contracts; Manage the contract renewal process and contract closeout process for all company contracts; Work with business leadership, negotiate and document vendor dispute resolution as necessary; Prepare vendor termination documentation and communications on behalf of the business owner; Organize and prioritize work, delegate work to staff, and supervise performance of delegated work to ensure timely completion of quality work product; Communicate, cooperate, and coordinate with other attorneys, managers, staff, client, and outside counsel to manage projects.

The candidate should preferably have Law degree from an accredited law school. Previous management experience is required. Must have 10+ years of expertise in contract management principles and techniques. 5-7 years of relevant experience in a law firm and/or corporate legal department; in-house corporate legal experience is desirable. Must be Licensed to practice law in Minnesota. Experience in retail, banking and/or financial services industries a plus. Should have understanding of financial concepts (cash flow, ROI, working capital) and impact of contract terms on such concepts. Proficient with MS Office Suite. Knowledge of SAP/Ariba is preferred.
