Assistant General Counsel - Corporate and Investment Bank (CIB) - Banking, Capital Markets and Research Group - VP The candidate will be responsible for providing primary advisory support for the CIB M&A Advisory Group and Investment Banking Coverage teams. Responsibilities will include drafting, negotiating and advising on the full range of documentation relating to M&A transactions (including M&A engagement letters, fairness opinions, valuation letters, transactional proxy disclosures and confidentiality agreements). Provide advice to the M&A Advisory and Investment Banking Coverage Groups on a wide variety of related legal, conflicts and litigation risk mitigation issues. As part of the group, will also have the opportunity, if desired, to participate in providing capital markets coverage. Work independently and with colleagues across the firm's global Legal Department and you will manage, and supervise, external counsel engaged in related assignments.

The candidate should have a Law school degree (J.D.) and admission to NY Bar. Must have 5+ years of experience, including M&A and/or Capital Markets transactional background, contract drafting and negotiation work. Prior experience working for or representing a full service investment bank (on M&A, Capital Markets or other transactional assignments) is a strong plus. Should be licensed to practice law and a member in good standing in New York. Experience with drafting and/or reviewing engagement agreements and other corporate contracts, such as purchase/sale agreements, joint venture agreements and partnership agreements. Familiarity with M&A counsel opinions, fairness/valuation opinions and related disclosure agreements is required. Familiarity with recent landmark Delaware case law relating to M&A litigation a strong plus. Prior experience with conflicts management also helpful but not mandatory. Familiarity of the US securities laws applicable to public and private offerings of securities is essential.
