Interim Senior Corporate Counsel - Project Employee The candidate will report to the Executive Vice President, General Counsel and Corporate Secretary, this interim position will have a variety of responsibilities on firm s legal team. Will provide legal support on securities law issues, compliance with NYSE governance rules and regulations and other corporate governance matters. This position will also serve as chief legal counsel for firm s Finance, Accounting, Tax and Treasury functions and firm s registered Broker-Dealer. Handle corporate organization matters for all of firm s domestic and internal subsidiaries and certain 401(k) activities working with external ERISA counsel, providing oversight for firm s real estate lease portfolio, providing legal support for M&A transactions, and engaging in other internal Legal Department management and matters. Project to last approximately four months. Review, prepare and advise with respect to the Company s public disclosure documents including SEC filings on Form 10K, Form 10Q, Form 8, Schedule 13D and Schedule 13G, and provide advice related to disclosure controls and procedures. Advise management on corporate governance matters under SEC rules and regulations, NYSE listing standards, Sarbanes-Oxley requirements and other corporate governance regulations. Advise with respect to executive compensation issues and issues related to the Company s 401(k) Plan. Assist the Corporate Secretary in maintaining corporate records for the Board and other corporate secretarial functions. Provide legal counsel to the Finance, Accounting, Tax, Treasury and Real Estate groups. Serve as chief counsel for firm Capital Advisors, firm s registered Broker-Dealer, including providing strategic, regulatory and legal advice generally, drafting and negotiating contracts, structuring broker-dealer-related transactions. Provide legal advice and support for aspects of acquisitions, divestitures, strategic alliances and similar types of transactions. Provide legal advice and support with respect to domestic and international subsidiary management. JD degree is required. Should have 10+ years of experience as a securities lawyer, preferably with both law firm and in-house securities law experience, along with legal experience in one or more of the following general corporate negotiations, broker-dealer compliance, risk management, corporate governance and/or ethics and compliance. Experience in the professional services or consulting industries is a plus. Finance or accounting background also a plus. Excellent interpersonal and client relationship skills, as well as excellent oral and written communication skill is needed. Strong drafting and negotiating skill is needed.
