Senior Attorney/ Managing Counsel, Ethics and Compliance The candidate s primary responsibility is to assist the Assistant General Counsel, Ethics and Compliance in providing legal support to the company in the area of ethics and compliance. Assist the AGC with strategic planning and compliance/integrity program implementation and enhancements; and in protecting the company and other affiliates from legal liabilities and risks (potential exposure for compliance-related violations and possible criminal sanctions against the company and individuals). Advise and counsel company and other affiliates about compliance issues and queries; coordinate with Legal and compliance/integrity teams in Europe, the Chief Compliance Counsel and Chief Ethics Officer (and their teams), as well as the other U.S. affiliates regarding compliance matters. Assist with management of the compliance function for TPRI (and other affiliates), with a primary focus on these areas: Anti-Bribery/Anti-Corruption; Anti-Trust/Competition Law; Anti-Boycott; Data Privacy; Fraud Prevention; Trade Compliance. Continually seek out best practices and tools to make the compliance program more effective and efficient. Create compliance communications, policies/procedures, and training, and deliver training. Participate in, and assist with management of, the Integrity/compliance network (a group of Integrity Officers enforcing/advocating ethics and compliance throughout the local business units). Monitor and provide updates to management regarding compliance-related developments. Oversee third party due diligence process, as well as gifts and hospitality register and compliance reporting obligations. Review and negotiate contracts (particularly service and consulting agreements; review of global contracts for appropriate compliance provisions). Assist with management and awareness of the Compliance Hotline and the annual Code of Conduct and Business Ethics Questionnaire. Assist with compliance-related audits; conduct assessments and participate in investigations as needed. Provide advice on ethics and compliance related questions. Work with and help manage outside counsel, principally in area of compliance. Liaise with other legal department members on various matters. Develop or assist in the development of compliance-related budget recommendations for the Legal Department. Juris Doctorate Degree from law school accredited by the American Bar Association and 5+ years of experience practicing law at a company, law firm or government agency required. 5-10 years of experience preferred. Experience with compliance program creation and implementation preferred. Knowledge: of significant compliance laws (FCPA, anti-bribery/anti-corruption laws, anti-trust and competition laws); of trade compliance matters a plus, including economic sanctions, export controls, FTZs, FTAs, C-TPAT and import requirements, anti-boycott regulations; of data privacy laws, Dodd-Frank and FERC regulations preferred. Excellent oral, written and presentation skills; effectively and creatively convey integrity and compliance based communications throughout the organization required. In-house experience preferred. French proficiency a plus. License to practice law or able to become licensed to practice in the state within 1 year required. Deadline: January 13, 2018.
