Vice President, Corporate Counsel The candidate will coordinate the delivery of all legal services in connection with strategic acquisitions, dispositions and other corporate development transactions. Work closely with company s Corporate Development Team as well as with a broad array of business and functional units across the company. Participate in the development of preliminary indications of interest in targets around the world. Provide upfront structuring advice with respect to contemplated acquisitions and dispositions. Draft and negotiate a wide variety of agreements, including purchase and sale agreements, joint venture and shareholder agreements, transition services agreements investment, banking and due diligence provider engagement letters, and confidentiality agreements. Provide advice with respect to assessing both legal risks and reputational risks arising out of contemplated transactions. Coordinate with other Law Department and Prudential associates with respect to tax, labor and employment, technology, intellectual property, litigation, benefits, real estate, government affairs, public relations and other matters. Advise business personnel on market standards for various approaches to issues. Effectively manage and oversee utilization of outside law firms to provide cost-effective legal services. Provide support, as needed, for other transaction related initiatives within the Law Department. 7+ years of legal experience, including training in a major national law firm required. Experience with the insurance and financial services industry strongly preferred. Substantial experience in merger and acquisition transactions and ability to balance large volume of deals simultaneously required. Outstanding project management skills and ability to perform effectively under strict time constraints and strong analytical and problem solving skills required. Superior interpersonal, organizational, written and oral communications skills and extensive experience drafting complex agreements required. Experience in securities laws preferred.
