Senior Director Staff Attorney / IT Contracts The candidate will be responsible for providing high quality advice to Legal Department lawyers, project teams, business team and senior management on the structure and strategy of commercial arrangements, and for drafting and negotiating contracts in support of multiple departments across the Company. Will be responsible for contract drafting and negotiation experience of various Information Technology and other general agreements required, including but not limited to, commercial, vendor, licensing, consulting, mobile application, cybersecurity, infrastructure and cloud hosting services, research collaboration, confidentiality and other agreements. Will manage and/or work closely with outside counsel and business team on M&A transactions end-to-end. Will be providing legal counsel to in-house clients on a diverse range of transaction or litigation oriented legal matters. Will work collaboratively with other attorneys and business team on diverse range of specialized areas within the law to achieve desired outcomes and also ensure all contracts are in compliance with all of the company s legal and regulatory policies and all legal and regulatory requirement. Will oversee the creation of departmental policies and implement, processes and the automated tool to support such process and within budget parameters. Will works collaboratively with other attorneys to ensure proper protection of intellectual property assets. Will provide legal advice in the establishments of other entities, Intellectual Property matter, litigation, discovery matter (including scheduling depositions of corporate personnel). Will negotiate wide range of issues and attend company meetings; Guide Company managers on regulatory and compliance matters; Oversee, establish and present training to UST Global internal teams, as needed. Will analyze legal issues and prepare reports based on findings and recommendations. Will represent the corporation before administrative boards and court trials, as needed.

The candidate should have previous law firm experience and in-house legal experience with global Information Technology company; Strong contract drafting and negotiation experience of various Information Technology agreements. Should be experienced attorney over 20 years practicing law and 12 years of that practicing in the subject matter. Previous law firm experience and in-house legal experience with global Information Technology company. Should have strong contract drafting and negotiation experience of various Information Technology agreements. Must have over 8 years in supervisory role. Should have demonstrated leadership, exceptional organizational, analytical and interpersonal skills. Advanced understanding of business principles and functions across the global marketplace. Must be equipped to demonstrate and lead strict process discipline and adhere to deadlines. Should have ability to work with diverse groups and reach consensus. Ability to multi-task and work under pressure in a fast pace environment. Should have excellent computer skills, MS Office Suite and Adobe Acrobat Professional. Must have Juris Doctor Degree. Must be licensed attorney with an active membership of a State bar.
