Associate Corporate Counsel The candidate will report to the Senior Corporate Counsel Americas. Will provide a broad range of legal analysis, services, support and counsel, primarily in the areas of commercial contracts in addition to other general corporate and compliance matters, including: Drafting, negotiating and advising on a wide range of transactional matters, with a primary focus on supporting the North America Commercial Operations team (i.e. sales agreements, including GPO and IDN agreements, cost per test agreements, professional services agreements, SaaS and technology licensing agreements, and business associate agreements/data use agreements); Review and copy approval of sales and marketing materials and tactics; Delivering clear guidance to stakeholders across the North America Commercial Operations team regarding laws and regulations relevant to the marketing and sales of the firm s products; Staying abreast of and advising on changes in laws/regulations and industry trends affecting the firm and its business, and assisting with development of policies and training as needed; Supporting administration of corporate governance matters for the firm and other firm s corporate entities in the Americas region; Advising on the interpretation of legal documents and applicable laws and regulations in a manner that provides practical legal advice while properly managing risk to the organization; Leading special projects as assigned and participating in cross-functional teams and committees while demonstrating leadership ability to colleagues and business partners; Working closely with other members in the Legal team to ensure consistency in approach across areas of the overall business and providing support for areas outside of his/her primary areas of responsibility as needed (including close collaboration with the Ethics and Compliance and Data Privacy teams ). The candidate must have a Law degree (JD) and admission (in good standing) to a State Bar. Should have strong academic record and excellent organization, communication and writing skills. Should have 2-4 years of PQE. Exposure to and a general understanding of data privacy law, trends and concepts, including HIPAA and GDPR issues is required. Prior experience in the healthcare industry (pharma or device) and/or software industry is a plus. Facility with computer programs Word, Excel, and PowerPoint is needed.
