Corporate Counsel The candidate will participate in meetings and provide real-time legal advice to business units and corporate functions for commercial, antitrust, purchasing and Human Resources/Labor matters. Will negotiate, draft, and review corporate documentation, including contracts for sale, purchases, distributorships, logistics, tolling, brokerage services, consignment agreements, non-disclosure agreements, software license agreements, letters of guarantee, and business development agreements for business units involved in the development, manufacture and sale of plastics, rubber, specialty chemicals and intermediates. Provide legal training to entry-level counsel, legal assistants and Paralegals. Track and negotiate rates charged by outside counsel to ensure effective representation and cost controls, under direction of the General Counsel. Evaluate findings and develop legal strategies and arguments, coordinating directly with corporate functions and business unit leaders, colleagues in EMEA, Latin America and Asia. Perform research of international laws and regulations, and perform international law and treaty research for common and civil international law countries, in consultation with outside counsel. Provide legal advice in merger and acquisition transactions. Supervise outside counsel in corporate, merger and acquisition, and litigation matters, and assist in directing project milestones and deadlines. Analyze, review and approve promotional and scientific materials. Must have an LL.M. degree from an ABA accredited law school, admission to practice law in a U.S. jurisdiction, and 2+ years of experience working as in-house counsel for a multinational company. Experience listed above must include researching, drafting, and reviewing corporate documentation, including contracts for sale, purchases, distributorships, logistics, tolling, brokerage services, consignment agreements, non-disclosure agreements, software license agreements, letters of guarantee, and business development agreements for business units involved in the development, manufacture and sale of plastics, rubber, specialty chemicals and intermediates; assisting in merger and acquisition transactions; liaising with outside counsel in corporate, merger and acquisition, and litigation matters; assisting in directing project milestones and deadlines; analyzing, reviewing and approving promotional and scientific materials; and performing research of international laws and regulations, including performing common and civil international law and treaty research, in consultation with outside counsel is needed.
