Associate General Counsel, Securities and Corporate Finance

Associate General Counsel, Securities and Corporate Finance The candidate will oversee and assist with securities compliance, corporate governance, internal controls, corporate finance, and other transactional matters. Will oversee Company s securities regulatory compliance, including periodic reports, Section 16 reporting, proxy statements, and NYSE compliance. Assist in corporate governance, including Board matters, minutes, charters and policies. Oversee and supervise the administration of Company s equity incentive plans and compliance with the Company s insider trading policy. Provide support for executive compensation, disclosure and related reporting matters. Provide support with corporate finance transactions, including securities offerings, debt offerings, credit facilities, and other transactional matters. Draft and negotiate commercial agreements, NDAs and term sheets. Provide legal advice and guidance on company policies and practices. Lead, manage and support company compliance. Coordinate with outside counsel and manage costs appropriately. The candidate should have a Bachelor s Degree and JD degree with excellent academic record. Active Bar membership in good standing in a U.S. jurisdiction needed. Should preferably have 7+ years of experience with a combination of national top-tier law firm and in-house experience. Experience with all aspects of public company reporting and governance, including 33 and 34 Act filings, proxy statements, and board management needed. Extensive knowledge of SEC securities law and NYSE requirements essential. Experience with equity incentive plans and award types needed.
