Corporate Counsel The candidate will report to the Chief Intellectual Property Counsel. Will provide legal support to these teams to allow them to make informed decisions and limit risk by drafting, reviewing, negotiating, and explaining agreements and transactions. Draft, review and negotiate transactions and agreements primarily in the technology space, such as inbound and outbound licenses, collaboration agreements, vendor agreements, non-disclosure agreements, intellectual property agreements, purchase agreements and development agreements. Provide cross-functional assistance to teams with transactions in other areas, such as philanthropy and investments. Advise the business on legal risks regarding new technologies, business plans and general operational issues. Collaborate with business and finance teams to ensure new business models are properly protected by contracts, and provide guidance to help our teams comply with the needs of their industry or geography. Act as a resource for other Vulcan personnel regarding the intersection of law, technology and Vulcan s goals. Assist other members of the Legal Department as needed. Manage outside counsel including responsibility for any use of outside counsel, ensuring quality work at a reasonable price. Must have Juris Doctorate degree (JD) from an accredited institution, Washington State Bar membership in good standing or out of state admission with ability and willingness to be admitted in Washington, and 4+ years relevant experience. Must have ability to establish trusted-advisor relationships with business leaders in key positions of responsibility, and to work effectively and collegially with legal department teammates and all business support functions. Both in-house and outside counsel experience is preferred. Must have outstanding academic credentials. Should have experience with and ability to use typical office software (e.g. Microsoft Word and Outlook).
