Corporate Counsel The candidate will report to the Deputy General Counsel and will interact daily with senior management and other company personnel on a broad spectrum of internal functions, including contract and regulatory compliance, finance, sales, product management, engineering, human resources, and professional/consulting services. Lead, manage, and develop the legal function for DrFirst. Consistently anticipate, provide timely evaluation, propose mitigation strategies for, and advise management of potential risks in contractual, regulatory, compliance, intellectual property, employment, and other legal areas. Develop, implement, improve and review legal and compliance procedures and training. Coordinate and implement corporate governance initiatives. Serve as a compliance officer assuring regulatory compliance in all matters. Contribute to the management of litigation, disputes, and investigations providing timely guidance to management of potential liabilities and mitigation strategies. Draft, negotiate and review commercial contracts, including but not limited to, agreements relating to direct licensing, distribution, consulting, confidentiality and other business and legal documents. Develop and oversee productive relationships with outside counsel, where necessary, to efficiently manage the company s global business needs and relationships. Should have 3+ years of experience to include to the following: Negotiating a diverse range of commercial, media and intellectual property agreements with clients, and suppliers, procurement departments. Working on compliance programs, including the drafting of policies and procedures, creating and organizing training. Working with external legal counsel to maximize these relationships in a cost-effective manner. Risk management experience. Health care regulatory compliance, especially HIPAA would be great.
