Corporate Counsel- Real Estate The candidate will report directly to the Senior Operations and Legislative Counsel and will advise on a wide range of legal matters affecting Clear Channel Outdoors s business with a focus on real estate. Assists the Real Estate Department and Branches within the company and handles all contracts, leases and legal administration of property. Provide day to day legal advice and business counsel to various domestic operating units of the Company on all aspects of transactional and real estate matters, including real estate leasing, real estate and asset acquisitions and dispositions, lease disputes, municipal bids, zoning and development, permitting, and other related matters. Draft and negotiate real estate purchase transaction documents including purchase sale agreements, amendments, extensions, reciprocal and cross access easements, utility easements, temporary construction easements for utility and access work, restrictive covenants, right-of-ways, and deed of trusts; Monitor real estate transactions through closing on purchase and sale of property including reviewing and objecting to title commitments and exceptions; reviewing and objecting to surveys; negotiating with various State, City and County officials on access, utility, and other development issues related to permits and projects; and, working closely with architects, engineers, and surveyors to address potential development issues and reviewing construction contracts. Draft and negotiate commercial lease documents including extensions and renewals, rent commencements, terminations of leases and assignment and assumptions. Monitor existing commercial leases throughout term of lease including analyzing and interpreting lease terms and obligations related to maintenance, rent calculations, and increases related to percentage rent, common area maintenance expenses, taxes, and insurance; external communications with Landlords regarding tenant improvement allowances, remodeling, maintenance, and Estoppel Certificate/Subordination requests. Manage outside counsel. Supervise the activities of Paralegal(s). Other duties as assigned.

The candidate should have 4-year college degree, BA/BS or equivalent. Must have Juris Doctorate from an accredited law school and be admitted to the bar in good standing in at least one jurisdiction. Should have 10 years experience as an attorney, 7 years specializing in real estate transactional work, including national real estate and corporate transactional experience, and land use and zoning; Out of Home Industry experience or experience in land use within an industry that utilizes special use permits (e.g. Oil, Gas, Wireless) preferred. Must have demonstrated ability to interpret interplay between Municipal, Local, State and Federal laws, ordinances, statutes and court decisions. Should have demonstrated ability interacting with all internal departments of the Company, as well as with outside counsel, external brokers, franchisors and City/County officials. Must have working knowledge of laws and procedures pertaining to land use, zoning, permitting, administrative law, and code enforcement. Strong organizational, time management and research skills are needed.
