Senior Corporate Attorney The candidate will provide legal advice primarily in the area of mergers and acquisitions, securities, integration, and also general corporate law. Will be a talented attorney who can work independently but collaboratively in a collegial team environment within a fast-paced legal department. Applies legal, business, and analytical skills to public company disclosure and related activities relating to mergers, acquisitions and divestitures, financings, and business activities.

REQUIREMENTS: Law degree from accredited law school and membership in good standing of any state Bar. 10-12 years of relevant legal experience at a law firm or a combination of law firm and in-house experience with an emphasis on public company M&A transactions. Significant experience in merger and acquisitions, including letters of intent, term sheets, stock and asset purchase and sale agreements, transition service agreements and related agreements. Experience leading due diligence teams and actively managing internal groups on due diligence, deal timing and scheduling. Additional experience in securities, trade compliance, product compliance, executive compensation, if possible. Requires the ability to approach solutions as a business partner and combine legal analysis to devise innovative solutions that meet client needs. Demonstrate capabilities in anticipating legal issues, accepting and effectively resolving sensitive legal projects and handling difficult situations diplomatically. Demonstrated business counseling, communications, conflict management and negotiation skills. Ability to manage competing priorities in a fast-paced, demanding environment, and ability to exercise sound judgment while working autonomously. Ability to see the big picture while executing on the appropriate details. Willingness to learn, strong communication skills, team player. Experience with NASDAQ listed company requirements and Sarbanes-Oxley compliance a plus.
