Associate Corporate Counsel The candidate will develop, draft, review, and negotiate contract terms and conditions with insurance companies, marketing partners, and vendors on behalf of Company by leveraging strong business acumen and comprehensive negotiation tactics. Will be responsible for providing and rendering practical, timely, and high quality legal counsel, guidance, and recommendations on mitigating issues concerning the rights, obligations, and risks related to the Company s business operations . Stay abreast of federal and state regulatory laws relating to the Company s business, Insurance Industry trends, and ensure compliance with all privacy laws and FCC/FTC guidelines, including TCPA, etc. Respond to regulatory inquiries related to the marketing and sale of insurance products. Establish and maintain procedures that protect the Company s intellectual propriety including but not limited trademarks, patents, and other Company assets inclusive of customer data. Manage and collaborate with outside counsel to develop strategy and action plans for litigation and regulatory proceedings, while effectively controlling budget of outside counsel expenses. Collaborate with Human Resources to determine action steps necessary in resolving potential employment claims and other labor law related issues; assist in creating employment related policies and practices. Provide leadership to create a strong working relationship between legal and other departments at Company and all other Allstate family of companies.

The candidate should have Juris Doctorate degree. Must be admitted to the State Bar of California; licensed to practice law, in good standing. Must have 3+ years of demonstrated transactional law experience with increasing levels of responsibility. Direct experience with providing risk assessment and management of legal and regulatory issues with senior leadership is essential. Must have experience drafting and negotiating contracts and transactions and drafting policies and procedures to mitigate compliance risk. Experience managing investigations and litigation both internally and with outside counsel is essential. Should have strong communication skills with ability to effectively communicate with associates and external parties at all levels of the organization. Must have excellent written and oral communication skills. Insurance Industry experience is preferred. Understanding of compliance laws and regulations, including insurance sales and marketing regulations is a plus.
