Corporate Counsel Responsibilities : The candidate will provide general legal services to support the company s business operations. Draft, review and negotiate contracts with the business operations. Manage Corporate policies and procedures, standard terms and conditions and the corporate compliance function. Advise on, and coordinate legal advice in respect of international projects including advice to various departments including Sales, Operations, Finance, Treasury and Tax Department. Draft and maintain intercompany agreements. Be the legal representative for the company in mergers and acquisitions and manage the due diligence process as required. Provide regulatory advice and maintain corporate formalities of Company entities, domestic and international and prepare organizational documents and corporate actions. Handle US and EU data protection and privacy matters. Works closely with Human Resources to provide counsel on all employment matters and related litigation and mediation. Occasionally work with outside counsel based on project requirements and managing employment litigation disputes. Managing outside legal counsel as required ensuring competency of work and meeting deadlines. Advise Human Resources and operations business managers on pending changes in employment laws. Maintain working knowledge of changes to legislation which impact company policies and processes. Make recommendations for process changes to ensure compliance. Oversee training where required. Address international regulatory issues and international compliance policies and procedures in liaison with outside counsel where appropriate. Provide general corporate governance advice and support in a wide array of practice areas and special projects as needed. Additional requirements may exist if offer of employment is extended.

Requirements : The candidate must be graduate of an accredited United States law school with a bar admission in good standing. Minimum 3 -5 years of experience practicing business/corporate law representing public/ and or private companies in-house at such companies. License to practice in Massachusetts. License to practice in additional states preferred. Demonstrated knowledge in labor/employment and litigation areas, and broad spectrum knowledge of business and legal issues. Experience in international law including industry regulations, employment law and international legislative systems governing our business, would be an advantage. Strong, professional written and oral communication skills. Excellent organization, attention to detail and advocacy skills. Must be able to handle company confidential information and data requiring the highest degree of attention to preserve confidentiality. Strong time management skills. Ability to maintain strong working relationships with internal clients. Ability to multi-task and work independently with minimal supervision, while adapting quickly to a rapidly changing and challenging environment.
