Corporate Legal Counsel

Corporate Legal Counsel The candidate will be drafting, reviewing and negotiating a range of commercial contracts, including agency, agreements, distribution agreements, supply contracts, procurement contracts and confidentiality agreements. Will be providing commercially focused legal advice, particularly on points of legal and regulatory compliance. Offering advice in connection with the protection and management of intellectual property rights ("IPR"). Assisting with the implementation of firm policies and procedures. Providing support in connection with legal disputes and court proceedings. Arranging training and coaching for US employees on key commercial and regulatory issues including FCPA and significant legal developments. Outsourcing certain aspects of work from time to time and coordinating advice from external legal counsel and patent attorneys. Must have 2 3 years of experience. Should have experience in reviewing, drafting and negotiating commercial contracts. Should have the ability to negotiate and influence others. Should be computer literate with proficiency in Microsoft Office and document management systems. Must have excellent oral and written communication skills, including the ability to: Convey information in a clear, concise, and logical manner; Communicate articulately; Persuasively advocate a position or a cause; Produce organized, concise, and persuasive prose; Draft a range of legal documents including motions, briefs, memorandums, resolutions, and legal agreements. Should have the ability to review and assimilate large volumes of complex information in an efficient and effective manner, drawing inferences and making connections among legal authorities. Must have experience in researching legal concepts, case law, judicial opinions, statutes and regulations. Knowledge of legal research techniques, including software applications is needed. Should have knowledge of Substantive Law and Legal Procedure. Must have general knowledge of substantive US law and US legal procedure, including: Local, state, and federal court systems (as applicable). Must have strong academic credentials, a law degree from an ABA accredited school of law and active membership in at least one state bar.
