Corporate Counsel - Real Estate The candidate will perform legal services for, advise, represent and support firm under the direction and supervision of the Lead Attorney with regard to: construction projects, including energy projects, facility maintenance and related matters, real property lease transactions, equipment lease transactions, real estate transactions, including acquisitions, dispositions, developments, land use and environmental matters, and financing transactions relating to any of the foregoing (collectively, Real Estate ). Will include, drafting, preparing, reviewing, revising, negotiating, advising and approving: all forms of contracts on construction healthcare and other projects, including energy projects; all forms of facility maintenance contracts and related documents; real property (including ground leases and space leases) and equipment leases and related documents by firm as tenant; real property (including ground leases and space leases) and equipment leases by firm as landlord, including to physicians and other third parties; and contracts, financing and other documents relating to the acquisition and disposition of real property, and land use and environmental matters relating to real property. Perform services, advise and represent firm relating to contract performance issues and disputes relating to Real Estate. Perform legal services for and support firm, when and as appropriate or requested, on matters under the direction of the Legal Department s other functional divisions, including, without limitation, innovation and technology, strategy and growth, operations, and regulatory and compliance. When performing these legal services, the Senior Counsel will be accountable to the Vice President Associate General Counsel ( AGC ) with authority over the functional division. Act as a legal counselor/advisor and business partner for firm s Corporate Real Estate Department, Service Area Presidents/Senior Vice Presidents-Operations, Hospital Presidents and other members of the Hospitals senior management teams, with a particular focus on Real Estate, on operational, business, strategic and legal matters relating to Real Estate. Develop and/or enhance the Senior Counsel s expertise, and for the Senior Counsel to be or become a subject matter expert, in specific legal, legislative, regulatory or health care topics, issues or arrangements relevant to Real Estate. Oversee and manage litigation, arbitration, administrative proceedings and other regulatory proceedings or matters arising out of or related to Real Estate as requested or assigned from time to time, including the management of outside counsel engaged to represent firm in litigation or other proceedings. Oversee, manage and work collaboratively on matters assigned to outside counsel engaged to advise, represent or assist firm, including review, direction and supervision of outside counsel s legal work. Participate on projects or matters related to the management and administration of the Legal Department as requested from time to time by the General Counsel ( GC ), Lead Attorney, and/or other AGCs. Supervise, direct, manage and work collaboratively with the paralegals, executive coordinators, and other non-attorney staff in the Real Estate Center of Excellence, the Legal Department or assigned to work regularly or on specific projects with the Senior Counsel consistent with firm s Core Values. Travel throughout firm as required to perform the duties and responsibilities of the Senior Counsel described in this Position Description. Develop and/or satisfy the Senior Counsel Legal Competencies accompanying this Position Description. Support the Legal Department proactively, both internally within the Legal Department and externally throughout firm, in the course and scope of the performance of the Senior Counsel s duties and responsibilities. Communicate frequently with the Lead Attorney on matters critical to the Senior Counsel s duties and responsibilities, the Legal Department and firm generally. Maintain excellent relationships, work collaboratively and engage in regular communication with the GC, other AGCs, the Legal Department s other attorneys, paralegals, executive coordinators and other non-attorney staff. Maintain excellent relationships, work collaboratively and engage in regular communication with the firm s Corporate Real Estate Department and facilities Facility Management personnel.

The candidate should have JD degree or equivalent degree from a law school accredited by the American Bar Association. Admission to the State Bar of Arizona (or eligibility under the Registered In-House Counsel provisions of the State Bar of Arizona), and professional licensure in good standing without any instances of suspension, revocation, censure or other adverse events in any jurisdiction. Admission to the State Bar of California is a positive factor. Should have 5+ years of legal or legal-related work experience either with a law firm and/or in-house legal department involving the provision of legal services in matters related to Real Estate, including leasing transactional and construction matters. Demonstrated excellent working knowledge and primary focus of prior work experience in the following substantive legal areas affecting Real Estate: review, drafting and negotiation of leases, purchase and sale documents, and construction agreements and related documents is needed. Working knowledge of or familiarity with substantive legal areas and issues related to health care and Real Estate matters, including the Stark and anti-kickback laws in physician transactions, is desirable. Familiarity with insurance type and coverage requirements in Real Estate matters is needed. Familiarity with or willingness to learn and understand the legal and operational issues unique to faith-based health care systems is essential. Experience with navigating complex and dynamic corporate organizations is needed. Excellent written and verbal communication skills, including the communication of complex legal and compliance concepts in a clear, concise and practical manner is needed.
