Commercial Attorney (Transactions and Litigation) The candidate will be responsible for both commercial contracting and commercial litigation matters. Will negotiate and draft a variety of domestic and international commercial agreements, including technology agreements, marketing agreements, software licenses, master services agreements, and recruiting contracts. Primary day-to-day responsibility for commercial litigation matters. Work with outside counsel to assess liability, develop the defense, build a factual case, identify witnesses, and recommend whether cases should be tried or settled. Work closely with internal business clients and other stakeholders at various levels within the company, providing legal and business risk assessment and analysis. The role also will provide day-to-day business counseling and identify opportunities for and implement process improvements. Play a major role in handling commercial transactions and commercial litigation for the business on a day-to-day basis. Review, interpret, draft, revise, and negotiate commercial contracts, and assist in the creation and maintenance of standard templates and clause libraries to address a variety of situations. Oversee commercial litigation and other disputes, working with outside counsel and internal stakeholders to analyze and resolve. Collaborate with and advise various stakeholders at all levels of the company. Take responsibility for special projects while continuing to handle a steady stream of day-to-day matters. Develop and provide training along with other members of the Legal team. Assist in development of governance protocols and procedures. The candidate should have JD degree and membership in California Bar. Must have 5+ years of commercial transactions and commercial litigation experience (experience both at a leading law firm and in-house preferred). Must have strong drafting and negotiating skills across of range of commercial matters and the ability to analyze complex situations and identify and simplify core issues. Excellent communications skills (written, oral, and listening) with the ability to influence and inform diverse groups is required. Must have experience supervising outside counsel. Experience in the apparel industry and/or a consumer facing business a plus.
