Senior Tax Attorney - M&A The candidate will work with Governmental Affairs, Investor Relations, and Communications to promote the Company's legislative priorities and assist with communications. We are looking for to exhibit sound business judgment in a fast-paced work environment with ability to manage and prioritize various responsibilities and deliverables. Strong transactional tax background (focused on acquisitions, dispositions, financing, reorganizations (acquisitive and divisive), restructurings, and joint ventures) is needed. Should have 5+ years of experience working with the rules in Subchapter K, Subchapter C, and the consolidated return regulations; structuring and documenting complex M&A transactions; drafting tax memoranda, opinions, and ruling requests; reviewing transaction documents and drafting tax provisions; reviewing and commenting on the tax aspects of financial models; and supporting critical business operations and managing various projects/workstreams. Strong organizational and interpersonal skills, including the ability to coordinate effectively with various subject matter specialists and proactively support internal customer relationships is needed. Should have 5+ years of experience. Experience preferred working on M&A tax issues at an Am Law 100 law firm or in the M&A group or Washington National Tax office of a "Big 4" public accounting firm. Member in Good Standing of State Bar is needed. JD degree is needed. LL.M. degree is needed. Bachelor's degree is needed. Energy industry is preferred. Communicate complex technical tax issues to management and internal stakeholders. Draft tax provisions in deal documents and prepare technical tax memoranda. Serve as the single point of accountability for federal tax issues and identifies non-federal tax issues to be addressed by applicable subject matter expert. Work with Governmental Affairs, Investor Relations, and Communications to promote the Company's legislative priorities and assist with communications. Perform other job-related duties as assigned.
