Assistant General Counsel Employment and Litigation The candidate will responsible for assisting the Deputy General Counsel and Human Resources department in the management and provision of all labor and employment related legal and compliance matters for the Company and its subsidiaries, and will focus principally on providing legal guidance on employee relations matters and related policies, EEOC cases, wage and overtime standards, FMLA cases and terminations. Will review employment contracts, severance agreements and non-disclosure agreements. Manage all of the Company s employment-related litigation, assist with EEOC charges, and advise the Company in order to prevent legal issues before they arise and favorably position the Company for when they do. Manage all of the Company s commercial and corporate disputes and litigation. Provides in house legal counsel on labor and employment related matters, including employee relations issues, wage and hour concerns, workers compensation, state or federal agency claims, employment agreements, FMLA matters, employment litigation and related policies. Identifies and assesses legal risks and opportunities within the labor and employment area and advises accordingly. Manage all of the Company s disputes and litigation (commercial, corporate, employment and other issues). Develop and maintain templates and standard terms generated by the legal department. Assist in the development of a contract review and execution process. Draft and negotiate agreements, such as severance agreements and non-disclosure agreements. Assist with development of employment-related policies and procedures. Provide assistance to the Deputy General Counsel with providing support to in house clients and with strategic transactions and obligations. Assist the Deputy General Counsel with the development of internal policies, systems and procedures. Independently handles legal matters and projects ranging from basic to complex and participates in the decision-making process with stakeholders. Supervise and advise outside attorneys and law firms who represent the Company and its subsidiaries in litigation, administrative proceedings and otherwise as required. Ensure that such services are provided with appropriate skill and in a cost effective manner.

The candidate must have Juris Doctor degree. Should have 7-10 years of experience as a practicing lawyer with at least five years at a law firm, and significant experience with general corporate matters and commercial contracts. Knowledge of employment law and corporate law/transactions is required. Experience with healthcare and government contracts is a plus. Experienced with public company reporting obligations is needed. Sense of humor is desired.
