Tax Counsel Responsibilities: Assist with research, analysis and implementation of potential tax planning opportunities to minimize direct and indirect taxes. Assist with preparing and drafting memos/opinions and presentation materials. Analyze restructuring transactions to assess the most tax efficient means of achieving target structures, as well as identifying any potential tax planning opportunities. Assist with materials to submit to regulators. Prepare memos, presentation materials, or formal written advice. Prepare legal analysis and documenting all uncertain tax positions for financial statement purposes. Present FIN 48 analyses to external auditors. Prepare memos, presentation materials, or formal written advice to the extent necessary. Advise on tax implications of contracts or business deals within business constraints. Advise on U.S. tax consequences and coordinate the local tax consequences of special projects, mergers, and acquisitions, as well as advising on the tax efficient structuring of the deal. Prepare memos, presentation materials, or formal written advice. Prepare and maintain adequate documentation of all transactions in preparation for future audit. Coordinate inclusion of U.S. GAAP, Local GAAP, US STAT, Local STAT and as well as Tax Sharing Agreement implications. Ensure complete communication of restructuring and planning projects to Tax Reporting Group to enable accurate and timely reporting in U.S. GAAP financial statements, Statutory Financials and tax returns.- Spot issues that may have an indirect tax implication and obtain advice to minimize indirect taxes from Indirect Tax Group. Identify transfer pricing issues/opportunities and work with Transfer Pricing Group to adhere to global policies and ensure compliance with applicable transfer pricing regulations.

Requirements: JD degree from an accredited U.S. law school and license to practice law required. 3+ years of experience in corporate tax planning at law firm, Big Four accounting firm or large insurance company. Insurance tax experience and familiarity with tax issues for multinational financial institutions is desirable. Must possess efficiency, honesty/integrity, organizational and planning skills. Must follow-through on commitments; be intelligent, and possess strong analytical skills. Attention to detail, proactive, flexibility/adaptability and enthusiastic. Strong work ethic, listening skills, openness to criticism and ideas. Excellent communication, teamwork and persuasion skills. Must be driven to work in a fast-paced environment. Must be collaborative.
