Senior Associate Corporate Counsel Duties: Reports directly to the Senior Director & Assistant General Counsel, Partner Sales, Worldwide Sales Legal Team. Provides legal advice and counsel to internal clients at all levels, supports day-to-day initiatives and long-term strategies of VMware, and leads the support for VMware s sales through one or more channel segments. Will be comfortable interacting with senior level decision-makers and able to work independently across the organization at multiple levels. Advise the Company s channel executives, sales professionals, and other members of legal team to develop, deploy and administer channel programs and the related contract documentation. Draft, review, and negotiate a broad range of agreements, including partner program, alliance, incentive and other contracts. Assess and advise on liabilities, legal restrictions, and risks of proposed channel programs and transactions; and devise creative and practical legal solutions to meet business needs. Interface with various groups, domestically and internationally, to understand key IP, commercial and finance requirements; and to ensure contractual terms comply with corporate directives, policies, and procedures. Keep abreast of applicable laws, government regulations, and industry guidance that impact the software, service, cloud and mobility businesses; and assist in the design and implementation of appropriate policies to ensure compliance with such law, regulations, and guidance. Support Ethics and Compliance as it relates to day-to-day sales activities, including providing training and counseling to executives, sales professionals and other internal clients; and coordinate with other groups within the Legal Department regarding compliance matters. Manage outside counsel, as applicable, and lead and/or participate in special projects within the Legal Department as assigned, including efforts to develop, implement, and enhance processes and policies that improve transaction velocity without material increase in risk.

Qualifications: Attorney with meaningful experience in a company known for excellence in its commercial legal activities (5+ years of legal experience comprised of time spent at a law firm or in-house is preferred). A licensed commercial attorney with: experience handling complex commercial legal transactions in the technology sector, attention to detail, capability to navigate the laws applicable to international distribution relationships, including antitrust/competition law, dealer termination laws and compliance obligations, and the desire to develop and manage distribution programs; prior experience supporting distribution programs and relationships in the technology sector is highly desired. Excellent negotiation and strong influencing skills. The highest degree of personal and professional integrity and ethics. Practical and proactive problem-solving skills. Confidence, maturity, an ability to remain calm under fire, and the ability to distill and communicate complex legal issues well in both one-to-one and group settings. A high degree of emotional intelligence and the ability to interact at all levels within vmware. The ability to work with a geographically dispersed team of legal professionals, and to think strategically in order to provide thought leadership for a growing business.
