Corporate Counsel

Corporate Counsel The candidate will be primary point of contact for business operations in regards to legal matters, including contract review, employee-related matters, intellectual property protection, and litigation support. Will interpret, draft, and negotiates commercial contract terms and conditions. Oversee the Company s contract database. Assist with compliance and corporate governance matters (i.e. drafting board resolutions, managing state filing requirements for subsidiaries, etc.). Research and analyze the law on complex issues and writing concise, practical summaries for General Counsel and operational leadership. Provide legal support on merger and acquisition (M&A) transactions, as needed. Exercise safe work practices by following all Company safety rules and OSHA regulations, including attendance at all required safety training programs. Participate in Company s continuous improvement programs and provide support to team efforts. Keep up-to-date and current on industry trends by completing formal training, reviewing professional publications, and attending professional workshops. Perform other duties as assigned.

The candidate should have JD degree and admission to State Bar Strong academic credentials needed. Should have 5-7 years of relevant experience, including in-house experience supporting operations, HR related matters, drafting and negotiating contracts, research and writing and corporate governance matters. Must be proficient with Microsoft Office software, Google and/or PC programs.
