Senior Corporate Counsel The candidate will draft and negotiate a broad range of contracts, which may include, limitation, service and supply agreements, distribution agreements, consultant agreements, confidentiality agreements, license agreements, sales and purchasing agreements, clinical trial agreements, and other agreements, as may be requested from time to time. Will manage various legal matters, which may include, without limitation, managing certain disputes and litigation matters, as may be requested from time to time to meet the needs of the Company and the Legal Department. Draft and negotiate agreements. Manage various legal matters, disputes and litigation, as requested. Support various needs of the Legal Department, as requested. JD degree from an accredited law school is needed. Should have 3+ years transactional and contract drafting/negotiating experience. Should have 4+ years of experience, with increasing responsibilities within the Legal Department. Member in good standing of the Pennsylvania Bar is desired. Should preferably have 4-8 years transactional and contract experience in the commercial or healthcare department of a major law firm, with a combination of in-house experience at a medical device or pharmaceutical company. Experience reviewing, drafting and negotiating a broad range of contracts, including service and supply agreements, distribution agreements, license agreements, confidentiality agreements, consultant agreements, sales and purchasing agreements, clinical trial and other agreements in the medical device/pharma industry is desired. Knowledge of intellectual property issues, Anti-kickback laws, false claims act, foreign-corrupt practices act, Physician Payments Sunshine Act, HIPAA, and FDA regulations are desired. Specific experience drafting and negotiating a broad range of agreements commonly needed in the medical device/pharma industry, such as, without limitation, service and supply agreements, distribution agreements, sales and purchasing agreements, consultant agreements, license agreements, confidentiality agreements, and clinical trial agreements are essential. Excellent drafting and negotiating skills; must be able to draft agreements from scratch is needed. Strong attention to detail is essential. Strong business and financial acumen as well as superior analytical and writing skill is needed. Knowledge of intellectual property issues, Anti-kickback laws, false claims act, foreign-corrupt practices act, Physician Payments Sunshine Act, HIPAA, and FDA regulations are essential.
