Corporate Governance Attorney DUTIES: Prepare and file Section 16 reports with the SEC. Schedule and conduct insider trading training as needed. Maintain stock ownership schedules for board members and senior executives. Assist with preparation of board agendas and materials. Assist with board meeting logistics and take minutes at certain board committee meetings. Assist with drafting of proxy statement. Assist with annual stockholders meeting. Review statutory financial statements. Review Form 10-K and Forms 10-Q and perform compliance checks. Prepare Forms 8-K as needed. Draft minutes for political action committee and investment committee meetings. Review external auditor legal letters, management representation letters and engagement letters. Oversee subsidiary management. Keep current with respect to trends in corporate governance. Perform special projects for board members and senior executives.

Qualifications: Bachelor Degree and JD Degree are required. 4+ years of experience in corporate governance or in an in-house regulatory position. Strong interpersonal skills, superior intellect, and outstanding written and oral communication capabilities. Demonstrated ability to communicate the company culture and values-to the public at large. High energy and resourceful team player. Proactive with an attitude and desire for continuous learning. A good listener who knows how to keep a confidence. Ability to deal with conflicting opinions and balance needs of multiple constituencies. Action-oriented and hardworking with a persistence and drive to finish tasks as well as overcome resistance and/or setbacks. Possesses an executive presence with strong problem solving and excellent project management skills. Possesses unquestionable integrity, character and business ethics. Skilled in planning, organizing and managing time across multiple tasks and customer needs. Ability to obtain results, create enthusiasm, inspire confidence with peers and the leadership team. Possess a practical understanding of the business and the ability to communicate objectives in a way that will motivate and make sense to the broader organization. Ability to get the job done without a dedicated support staff. Works easily with the members of the leadership team, looks for opportunities to collaborate, supports and can be trusted by others, and is comfortable operating outside his/her functional expertise.
