Corporate Attorney Duties: Responsible for the day to day legal affairs of non-public corporate entities, including general corporate work, corporate governance, and contract review. Will have interaction with senior management, and coordinate with the procurement, accounting and treasury departments on legal matters. Direct responsibility for all non-public corporate legal matters, including drafting of minutes and maintenance of subsidiary minute books. Responsible for corporate governance of non-public subsidiaries; provide legal research and analysis on public company governance issues upon request. Review, drafting and negotiation of all vendor contracts; provide legal research and analysis on contracting issues. Review and negotiation of banking and investment related agreements on a limited basis. Review and negotiation of real estate leases and related agreements. Review and negotiation of engagement and representation letters with outside auditors, maintenance of good working relationship with outside and internal auditors. Lead legal contact for public company Disclosure Controls and Procedures process, Section 404 audits and CEO/CFO Certification process. Responsible for relationship with transfer agent on all stock related issues. Responsible for preparation of intercompany transfer pricing agreements. Responsible for review, and on a limited basis the negotiation, of the Company s credit facility; responsible for compliance with respect to the credit facility and indenture. Assist, on request, in review of various public company periodic reports and insider transactions including Forms 3, 4, 5, 10-K, 10-Q, 8-K, S-8 and proxy statement.

QUALIFICATIONS: JD Degree from an accredited U.S. law school with strong academic credentials. Current member in good standing on at least one state bar; ability to obtain licensure in Kansas. 4-7 years significant, sophisticated corporate and/or securities law experience, preferably with large national law firm, or in-house legal department. Ideal candidate will have extensive knowledge of general transactional/corporate law, DGCL and contract negotiation. A proven background of relevant legal experience exhibiting maturity and independence of judgment in difficult and complex circumstances; anticipates internal and external business challenges. Excellent analytical, drafting and written/oral communication skills. Ability to effectively advocate for his/her client position and negotiate on client behalf. Excellent interpersonal, problem-solving, and leadership skills. Ability to establish effective working relationships throughout operational groups in an environment where coordination and teamwork with legal and business associates is a top priority. Ability to weigh legal risks within a dynamic business environment and deliver timely, proactive and constructive legal advice to all levels of the company, including senior management, that is supportive of business objectives. Motivated self-starter who can work independently with initiative in handling diverse situations, sound judgment and discretion. Highly organized individual with special attention to detail and ability to manage multiple priorities/deadlines, pressure and stress inherent in the practice of law. Flexibility and a willingness to adapt to fast-paced, changing needs of the organization and business clients. Ability to proofread and edit documents using standard proofreader marks. Proficient in MS Office Suite (Word and Excel).
