Contracts Attorney Duties: Work under the direction of supervisor in certain circumstances and in others assume a lead role in (i) negotiating, drafting, editing, reviewing and interpreting various types of commercial documents, including vendor agreements, license agreements, non-disclosure agreements, amendments, and other transactional documents, and (ii) providing sound legal advice and direction to minimize business risks and support the business teams. Effectively assess business needs/requirements and determine the appropriate documentation necessary to meet business needs/requirements, mitigate potential risks/issues and ensure compliance with applicable laws and policies. Provide proactive risk assessment advice related to terms and conditions of agreements at the commencement of the vendor procurement process. Research various issues and draft memoranda with findings and recommendations. Clearly communicate or present (in writing or verbally) risks & benefits of negotiating options and contractual provisions to business clients, and make recommendations to decision makers based on such advice. Collaborate to ensure consistency among company standards and contract terms. Recognize key issues requiring elevation to senior Legal Department personnel. Maintain status report with respect to broad range of active and executed contracts, ensure appropriate approvals are archived with respect to executed agreements, and work with business partners to continuously improve efficiency and organization of internal contract review process. Conduct research and keep abreast of laws and industry-related topics that could impact applicable contracts and use this information to make appropriate adjustments to contractual templates Prepare specialized transaction documents related to subsidiary corporate actions such as mergers, acquisitions, restructurings, and dissolutions Assist senior Legal Department personnel with respect to subsidiary corporate governance and required annual filings as necessary Effectively maintain and cultivate relationships with internal stakeholders, respecting the importance of your role as a representative of the Legal Department.

Qualifications: JD Degree from a highly rated accredited law school. Large firm and/or prior in-house legal department experience a plus. Member of a State Bar and ability to obtain New Jersey in-house certification if not admitted in New Jersey. 3-5 years of relevant experience in commercial contractual negotiation and drafting within an in-house corporate legal department setting and/or law firm Intermediate level proficiency in Microsoft Office products required (i.e. Excel, Word and Outlook) Experience in any of the following areas would be helpful: anti-corruption, FCPA, or vendor due diligence. Additionally, experience working with procurement teams and/or contract management systems would be helpful.
