Corporate Counsel The candidate will perform all franchise legal matters for designated brands seamlessly as part of Team. Will perform franchise legal matters, to include, but not limited to: maintain and draft all Franchise Disclosure Documents (and exhibits) in the United States and Canada (e.g., annual FDD renewals, material changes, amendments); franchisee terminations, defaults, standstill agreements, work-outs, and releases; working with franchise administration on new, transfers, renewals, and amendments; and all other franchise-related matters. Outside franchise counsel assistance limited to registration of FDDs and on a limited as-needed and pre approved. Aggressively defend the franchise brands and pursue franchisees in default of their franchise agreement through mediation, arbitration, and litigation. World class management of cases that provides successful results to the business with the assistance of outside litigation. Perform and manage with limited outside counsel s assistance franchise IP related matters such as trademark research, cease/desist letters, disputes, injunctions/TRO and other IP related. Perform all contract and marketing reviews within turnaround timeframe the business requires and according to tfirm contract review policies and. Be a business partner and ensure that the business never views Team Legal as a necessary/ Create and evolve processes and procedures for efficiency and cost effectiveness for all responsibilities while creating training manuals and templates for others to easily. Successfully communicate and work with brand presidents, officers, franchisees, attorneys, external contacts, and internal departments to perform responsibilities. Gain trust quickly.. Use and continue paperless document management. Research and respond quickly to legal inquiries from company associates. Maintain confidentiality of proprietary. Interface with others in a professional manner and be a trusted. JD degree from an ABA accredited law school is needed. Should preferably have 7 years; but will consider less. License to practice law. Strong business acumen coupled with solid analytical skills are needed. Excellent negotiation skills are needed. Excellent verbal and written communication skills are needed. High computer literacy including strong experience with Microsoft Word, PowerPoint, Excel and Outlook is required.
