Corporate Counsel - Investments and Asset Management

Corporate Counsel - Investments and Asset Management The candidate will collaborate closely with XL Catlin attorneys and business teams to assist in supporting a variety of investment transactions and asset management activities. Negotiate, draft and review a variety of transactional agreements, disclosure documents, advertising/marketing materials, non-disclosure agreements, subscription agreements, investment management agreements and trading documentation (including ISDA, futures, securities lending and brokerage agreements). Assist with investments compliance issues/policies and reviewing, preparing and filing SEC Forms and preparing corporate governance materials. Support senior lawyers and outside counsel on complex and fast paced transactional matters. Report to the General Counsel. Should have knowledge in the asset advisory/fund investments space and securities law issues. Familiarity with insurance linked securities and (re)insurance issues is a plus. Must demonstrate seasoned judgment, a strong work ethic. A law degree from a top-tier law school with high academic achievement is required. Member of the New York Bar is needed. A demonstrated track record as a transactional lawyer with 1-2+ years of experience with a top law firm is required. Experience in a variety of investment and/or capital markets transactions, including (re)insurance or insurance linked securities transactions, and Derivatives is a plus. Must be knowledgeable in U.S. Securities Act of 1933; U.S. Securities Exchange Act of 1934; U.S. Investment Advisers Act of 1940. Should have excellent verbal and written communication, collaboration, negotiation, and presentation skills.
