Corporate Counsel - Commercial Contracts Duties: Participate on our largest, strategic deals. Will take a lead role to draft, negotiate, and manage complex global IT, Consulting, and Outsourcing deals and should possess excellent communication and organizational skills. Work directly with strategic account team members and advise on a variety of day-to-day legal matters. Experience with outsourcing, intellectual property licensing, or information technology contract negotiation preferred. Participate in special internal/operation projects as continues to enhance our Legal function. Support the company s legal operations by providing counseling regarding and a broad variety of legal services related to (1) the protection of the company s intellectual property rights, (2) the monetization of the company s intellectual property through direct and indirect licensing arrangements, and (3) the acquisition of intellectual property for internal use, use in connection with the delivery of client services or for resale or re-licensing to clients. Work in concert with Strategic Deals Lead attorney to negotiate and coordinate all legal aspects of complex global strategic engagements. Development and Maintenance of Contract Templates. Assist in the review, revision and maintenance of contract templates, model provisions and playbooks related to master services agreements and various other types of contracts, including initiating a geography-specific market analysis on a periodic basis, and creating training materials and providing training on new or revised contractual positions for various delivery models. Special Projects- Assist GC of Corporate & Client Services and GC, UK & EMEA & Data Privacy Officer with project work, such as implementation of new contracting and data management platform. Qualifications: JD Degree from accredited law school. 10+ years of directly relevant experience. Significant experience managing legal personnel. Significant experience working in a top-flight law firm and in a sophisticated in-house practice strongly preferred. International transaction experience strongly preferred. Excellent communication skills, including the ability to interact with the highest levels of senior management. Excellent negotiation skills, including the ability to comfortably negotiate complex commercial transactions with the most sophisticated law firms in the country. Excellent drafting skills, including the ability to draft clear and concise contract provisions. Strong attention to detail. Ability to manage many projects simultaneously. Discretion in the handling of highly-sensitive information. Ability to act as a player-coach by simultaneously overseeing training initiatives for a relatively large team of experienced legal personnel and directly leading the negotiation of complex deals. Team player, with the ability to work seamlessly with a global team.
