Corporate Counsel Duties: Provide legal support and counsel on commercial contracts, supporting negotiation and drafting of contracts with customers, suppliers, and business partners, including management of contract authorization process. Assist in management of litigation matters, including supervision of outside counsel. Support management of IP portfolio, including patent and trademark filings. Assist in preparation, review and management of accurate and timely filing of SEC periodic reports. Assist with corporate governance matters. Support merger and acquisition transactions, including due diligence, document preparation, closing mechanics and post-closing integration. Direct and maintain corporate records management program. Assistance with global ethics and compliance function, including development and implementation of training programs and policies, assistance with internal investigations and ensuring compliance with data privacy laws. Provide day to day advice, counseling, and legal support to global business partners and corporate staff functions by delivering front-line legal advice on a variety of legal issues, including contracting, disputes, business expansion, strategic transactions, regulatory/ compliance issues and other legal matters. Assist with managing relationships and services of outside attorneys. Assist and support senior attorneys on a broad spectrum of other legal needs.

Qualifications: JD Degree. Significant experience in either law firm or in-house legal department. Professional demeanor, credibility and reliability. Proficient in Microsoft Outlook, Word, Excel and PowerPoint. Hands-on, hard-working, roll up your sleeves ¯ style, with both business partners and Legal teammates. Excellent interpersonal skills necessary for effective development and maintenance of internal and external client relationships. Strategic thinking, plus a committed get to yes ¯/solutions-oriented approach. Demonstrated business acumen and ongoing commitment to a business partnering legal services model ?¯viewed as a trusted business advisor to business partners. Excellent written, verbal and interpersonal communication skills, with the ability to translate complex legal/regulatory issues into understandable and executable advice. Ability to manage outside counsel, including supervision of work and control of legal budget. Strong legal and business risk identification, assessment and mitigation skills. Thought leadership and effective advocacy on issues and strategy with a diverse set of internal and external stakeholders. Leadership skills and emotional intelligence. Strong collaborator and flexibility to play multiple roles. Comfort and excellent judgment in areas where regulation/law is evolving or uncertain. Responsive and ready, willing and able to assist with new challenges. Efficient, with a propensity for action and a strong sense of ownership. High personal integrity. Ability to make difficult decisions quickly and work independently in a fast-paced environment, handle multiple assignments and prioritize. Self-motivated and enthusiastic.
