Corporate Counsel Responsibilities: Act as a legal advisor to all of business units regarding corporate, commercial, marketing, transactional, contract, employment, governance, privacy and real estate matters. Prepare, review, and negotiate a wide variety of agreements, contracts, requests for proposals and other legal documents. Advise on employment matters including employee relations, policies and visas. Create and implement procedures for contract management, organization and documentation. Participate in the definition and development of corporate policies, procedures and programs. Serve as key legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures. Assume ultimate responsibility for ensuring that the company conducts its business in compliance with applicable laws and regulations. Oversee the selection, retention, management and evaluation of all outside counsel. Advise on legal aspects of the company s financing, including assessing and advising on current and future business structures and legal entities. Oversee the company s insurance renewals, including selection, retention and evaluation of insurance brokers. Ownership and maintenance of the company s capital structure (e.g, stock incentive plan).

Qualifications: A bachelor's degree and JD Degree, with a strong academic record. Admission to the NY Bar. 5+ years of experience in corporate, commercial or related law, both in-house and with a law firm. Exceptional commercial contract knowledge with SaaS experience a requirement. Experience working with Carta (aka e-Shares) is a plus. Experience working on matters of corporate governance and with a board of directors is a plus. Able to work under pressure and meet deadlines in a fast-paced environment. High level of integrity and business acumen. Strong understanding of the interplay between legal and business risk. Outstanding communication skills, both oral and written. Collaborative, ability to partner with a variety of stakeholders, internally and externally. Organized, detail-oriented, resourceful and flexible.
