Vice President, Corporate & Securities Counsel Responsibilities: Oversee the coordination of all Board of Directors-related matters, including relevant research and drafting and preparation of materials for Board meetings. Review and/or prepare all SEC and NYSE filings, including Annual/Quarterly Reports on Forms 10-K/Q, Current Reports on Form 8-K, Section 16 filings (Forms 3/4/5), annual Proxy Statements, Annual/Interim Written Affirmation filings and others. Provide counsel regarding compliance with SEC rules, NYSE listing standards, Sarbanes-Oxley standards, and all other applicable corporate governance requirements, as well as relevant corporate governance, executive compensation, investor relations, and public company policies, processes and issues. Advise regarding significant and other corporate financing transactions, including drafting and/or reviewing various agreements in coordination with Tax, Treasury and Finance departments. Oversee all general corporate and transactional matters, including oversight of corporate record-keeping and subsidiary and D&O management. Advise and review and/or prepare materials in connection with private foundation and philanthropic matters, including governance and compliance, grantmaking policies and procedures, Board of Directors-related matters, charitable registration and commercial co-venturer filings, review of philanthropic marketing and advertising, and related agreements. Requirements: JD Degree from a top law school with excellent academic credentials and member of New York Bar. 10+ years of experience in a law firm with a strong background in corporate, capital markets, and securities laws; in-house experience a plus. Exceptional attention to detail combined with the ability to see the big picture. Talent for multi-tasking, prioritizing and following through. Excellent business judgment and the ability to assess legal risk. Strong analytical, writing and communication skills.
