Corporate Counsel The candidate will review and provide feedback on significant vendor contracts and customer contracts. Will support the sales team on a wide variety of deals. Support the finance team on stock option and equity matters. Assistance in preparation for Board and committee meetings. Assistance in managing shareholder relations and preparation of materials for annual and special meetings of shareholders. Assistance in maintaining corporate books and records. Assistance in preparing, managing and implementing corporate governance and related policies and preparing, managing and implementing corporate policies. Review and provide feedback on significant vendor contracts and customer contracts. Provide support for M&A transactions, including working with executives and finance department on deal structure, LOI terms, planning and assisting in due diligence, and drafting and negotiating deal agreements. Provide support to management on real estate, corporate, financing, and commercial and other transactions and special projects as needed. Assist in commercial contracting and maintaining form agreements. JD degree is needed. Should have 1-3 years of relevant legal experience counseling high-growth technology companies at a top law firm or in a comparable environment as part of an in-house legal team. Member in good standing of the Utah State Bar is essential. Experience in the software and technology industry, and general knowledge of the FinTech or Financial Services industry is essential. Substantive experience with drafting and negotiating complex legal agreements; experience with other internal company functions or areas of law is desired (such as wide range of contracts including NDAs, vendor and service provider agreements, and commercial transaction agreements) is essential.
