Corporate Counsel The candidate will coordinate and prepare numerous annual holding company filings for enterprise domestic insurance companies. Will provide advice and prepare transactional regulatory filings relating to inter-affiliate transactions. Prepare necessary regulatory filings and other documentation in connection with enterprise M&A activity. Negotiate and draft documentation required for insurance reserve financing transactions, the establishment of associated insurance captives and related regulatory filings. Provide advice and draft documentation for internal enterprise capital management activity. Provide advice concerning the corporate structure of the enterprise, and prepare documentation and required regulatory submissions for corporate restructuring. Provide advice and prepare Board materials for various corporate transactions at the holding company and subsidiary levels. Review statutory financial statements of our domestic insurance companies, and insurance-related disclosures included in enterprise SEC filings. Review and provide advice respecting state insurance department examinations and reports. Work closely with business clients, attorneys in other Practice Groups, Units and Sections, and outside counsel and participate in discussions with state insurance regulators in connection with the foregoing activities. Work closely and proactively in partnership with internal business partners and outside counsel to identify issues and develop practical solutions. Act as a trusted advisor and partner to Firm Global Government Relations, Global Technology and Operations, and other business areas (including Finance, Treasury and Reinsurance) in developing and advocating positions to advance Firm s interests. Keep business partners and colleagues apprised of relevant issues, developments and preventative law measures in state insurance regulation. Collaborate with colleagues on a global basis to provide advice on the same or other matters in a collegial and coordinated fashion. Communicate frequently with Law Department management on issues and progress of matters in order to maintain effectiveness and to coordinate with those working on other matters. Work with, guide, and manage outside counsel for Firm on matters, to the extent they are engaged on those matters. Exhibit detail-orientation, with very good organizational skills and experience in advising business partners. Perform other duties appropriate to the role, or as required or necessary. Learn and embody Firm values. The candidate should have Juris Doctor degree from an accredited law school. Should be admitted to the New York State (or other appropriate) Bar. Must have excellent academic credentials. Should have 5+ years transactional and/or regulatory experience at a major law firm and/or in-house legal department and/or a state or federal regulator, reflecting a record of accomplishment. Insurance and/or other financial services industry experience is a plus. Must have familiarity with the market and regulatory landscape affecting global financial services companies.Command strong drafting, negotiating and analytical skill is essential.
