Corporate Counsel III The candidate will provide legal advice and risk mitigation strategies to the firm organization in support of a broad range of corporate and transactional projects. Will maintain responsibility for necessary legal services related to international corporate governance and subsidiary management and commercial and supply chain transactions globally. Work closely with members of the legal team, senior management and other internal stakeholders, and external counsel on corporate matters generally. Oversee domestic and international subsidiary governance and management, including preparing board and special meeting materials, securities compliance, disclosure, managing director appointments, managing the OUS Power of Attorney program and corporate signature authority policy, and advising on treasury transactions. Responsible for managing the direct procurement/supply chain contracting processes with negotiation and drafting of complex commercial agreements, including manufacturing and supply agreements, quality services agreements and all necessary legal services related to direct supply chain commercial transactions for the global firm organization. Provide strategic and practical advice to senior leadership and department heads on commercial supply chain matters generally. Provide strategic advice and direction on hospital and payor contracts related to technology offerings in partnership with the Compliance function. Oversee drafting and preparation of hospital and payor contracts related to technology offerings. Leadership and coordination of all legal department involvement with Business Development and supply chain teams on all finished goods contracts, strategic sourcing/distribution arrangements and bolt-on technology licensing transactions, including preparation and negotiation of indications of interest, letters of intent, confidentiality, and exclusivity agreements with potential targets. Responsible to assist in the indirect procurement contracting process with negotiation and drafting of complex commercial agreements, including services outsourcing, IT procurement and software licenses. Coordinate legal due diligence on M&A and licensing transactions in cooperation with business and intellectual property functions. Assist with preparation and drafting of annual and periodic reports to meet financing reporting and debt holder reporting requirements. Provide oversight, guidance and training to the Investor Relations and Communications Departments on Regulation FD matters. Assist with preparation and drafting of debt and equity securities offering documents. Assist with preparation of debt financing definitive agreements, including credit facilities and indentures. Work closely with other members of the legal team and external counsel on other corporate matters as needed. Liaise with the company s network of external counsel as required, manage fee arrangements and other administration related to the use of external counsel. Anticipate, guard, and advise against legal risks involving the company and its areas of business. Participate in all reasonable work activities as may be deemed suitable and assigned.

The candidate must have J.D. degree from an accredited U.S. law school with a strong academic record and admitted to practice law in the United States, preferably Texas. Should be in good standing with the relevant State Bar (current on CLE requirements, no disciplinary actions, etc). Should preferably have 6+ years of experience as an attorney, with commercial transactions experience. 2+ of those years of experience should be with a large corporate law firm. Individual with a strong understanding of business and finance is desired.
