Corporate Counsel - DIS Commercial Counsel The candidate will review, draft, negotiate and manage license agreements, collaboration agreements, cloud services agreements, professional services agreements, partnership agreements, reseller agreements, and business associate agreements. Develop and implement legal processes and procedures for the creation and protection of intellectual property. Advise business colleagues and other cross-functional stakeholders on legal issues and risks, approval processes, company policies and procedures, intellectual property (IP), privacy and data, and business strategy. Respond promptly to legal requests from research, development, sales and other clients, summarizing and communicating legal concepts. Support the implementation and maintenance of GDPR principles and processes. Ensure compliance with company policies and risk tolerance as well as compliance with local, state, federal, and international laws, rules, and regulations. Collaborate with the Roche Global Legal, Compliance, and Privacy organizations to align and ensure consistency with respect to advice to global business. Should have JD or equivalent legal degree. Must have 3-5 years of experience in technology licensing law. Must be admitted to the Bar in which position is located and in good standing or otherwise authorized to practice law (e.g., have registered in-house status) in the state in which the position is located. Background in drafting and managing services agreements, sales contracts, licenses, alliance agreements and intellectual property agreements is essential. Should preferably have 8+ years of relevant work experience. Familiar with cloud computing, business associate agreements, professional services agreements, and privacy law. Experience with technology agreements in the life sciences industry is essential. Basic knowledge of EU data privacy matters including GDPR is a plus. Application deadline: 2018/03/02.
