Senior Counsel - Epoxy and International The candidate will serve as a key member of the law department providing legal support to the global Epoxy business and the international operations of the chemicals businesses. The successful candidate in this role will provide legal counsel on a wide range of topics across a number of different counties. The position will be located in Clayton, MO but will travel to domestic and international locations on a regular basis. Will report to the Deputy General Counsel & VP- Epoxy. Draft, negotiate and review various commercial and business contracts for the global Epoxy business and the international operations of the chemicals businesses, including: Sales Agreements; Distribution Agreements; Purchasing Agreements; Confidentiality Agreements; Services Agreements; Consulting Agreements. Work closely with and develop strong relationships with sales and marketing teams as well as senior Division leadership to facilitate Division business goals and objectives. Ensure compliance with current contract policy and procedures and identify areas for improvement. Assist with the resolution of customer issues. Provide legal advice to members of the company's management and operations teams on legal issues associated with the chemicals businesses company operates internationally including Epoxy, Vinyls, and Global Chlorinated Organics. Serve as a key legal adviser on all major business transactions for the international operations, including the procurement function. Support legal strategy for international chemicals business units. Educate and provide counsel to company s executive team on compliance, risk management, and legal issues relating to the chemicals businesses in international locations. Interpret laws, rulings, and regulations and determine how they apply to company for all international operations. Effectively collaborate with and manage outside counsel on matters assigned, and identify opportunities to minimize outside counsel fees. Research claims by and against company s international operations to anticipate and reduce legal risk. Develop and update contract templates and policies. Review company policies and programs for legal risk and recommend updates and revisions. Stay up-to-date on regulatory and law changes as they relate to the international chemical manufacturing businesses of company. Work closely with the in-house and outside legal team to ensure consistency and compliance with corporate-wide policies and procedures. Prepare and provide proactive training to management and operations teams on international legal topics. Collaborate with other members of the legal team to ensure consistent quality of services and exchange of best practices between the Epoxy Division, international operations, and the rest of company.

The candidate must be licensed to practice law in at least one state, with the ability to obtain Missouri in-house admission within six (6) months. Should have Juris Doctorate or LLM degree from an ABA accredited law school. Must have 7 years of relevant legal experience with a major law firm or corporation. Must have passport and be able to travel domestically and internationally; Position will require travel up to approximately 30%, primarily in Europe and Asia. Relevant international legal experience preferred, preferably Europe and Asia. Commercial and business law background required; Background and experience in international business highly desired. Ability to communicate in multiple languages (e.g. German, Chinese, Portuguese, Italian, etc ¦) a plus. Should have ability to interact with all levels of management and outside law firms. Must have strong negotiation and communication skills (written and oral). Must be able to function collaboratively and be open to sharing, growth and learning in a team environment consistent with the goals and principles that guide the Law Department. The ability to be reached by clients and others on the legal staff during off-hours is important.
