Corporate Attorney Duties: Under the direction of the Assistant General Counsel or General Counsel, serves as corporate legal counsel, providing guidance and expertise in mitigating potential legal problems and reducing the potential for risk on all complex legal matters and projects. Ensures the legality of commercial transactions and advises on legal rights and responsibilities. Ensures corporate compliance and adherence to laws, regulations, and requirements as appropriate. Acts as a corporate representative in legal proceedings and processes to initiate and/or defend the company. Draft, document, interpret, and communicate various contracts, agreements, and policies. Research, anticipate, and mitigate potential legal problems within the organization and develop strategies to avoid costly litigation and reduce potential areas of risk. Escalate strategic decisions and risks appropriately and negotiate with outside parties on contractual issues, legal disputes, and deals. Represent company in legal proceedings (administrative boards, court trials etc.). Initiate or defend lawsuits with approval and guidance from General Counsel. Represent company in governmental proceedings (market conduct examinations, Department of Insurance inquires, etc.). Collaborating with management to devise efficient defense strategies. Consult on corporate legal processes (e.g., intellectual property, mergers and acquisitions, financial/securities offerings, compliance issues, transactions, agreements, lawsuits, patents). Assist in the development of the company s policies on industry-specific issues, corporate governance, and/or regulatory affairs. Draft, structure, review, and administer all necessary contracts, reports, and other legal documents. Draft, negotiate, manage, and advise business teams with respect to vendor agreements, complex service contracts, marketing agreements, marketing work product, and other commercial agreements (including renewals). Collaborating cross-functionally with the company s various groups to understand and ensure consistency of agreement terms with the company s business, financial, and risk management objectives. Reviewing insurance contracts and evaluate what is covered under a given insurance policy and up to what amount as requested by the Claims Department. Conduct and/or oversee due diligence process on transactions, and communicate with other internal departments, functions and outside counsel. Communicate and negotiate with external parties (regulators, external counsel, public authority, etc.), creating relations of trust. Research and analyze the law on complex issues and communicate in writing and/or verbally to the Assistant General Counsel, General Counsel, or Executive of the organization. Keep abreast of legislative changes and communicate as required. Provide accurate and timely counsel and develop and administer training workshops to management and employees on a variety of legal topics and compliance issues. Ensure compliance with rules and regulations. Providing legal counsel or facilitating legal services to subsidiaries. Provide legal support on selected transactions, strategic alliances, and joint ventures, including but not limited to the preparation and/or review of engagement letters, confidentiality agreements, letters of intent, partnership agreements, joint venture agreements, master service agreements, statements of work, and other related agreements. Answer general insurance questions as posed by the company s policyholders and/or directing policyholders to local counsel for specific legal opinions. Assist in the selection and monitoring of outside counsel, as necessary, including the approval of associated invoices and fees as directed. Consult and provide legal guidance on potential legal issues, areas of risk, and legal processes. Represent company in legal and governmental proceedings including initiating and defending lawsuits. Develop and revise company policies. Monitor for legislative changes and changes in the law and communicate to Review, draft, and administer contracts, reports, and other legal documents. Develop and administer training to company supervisors, managers and employees.

Qualifications: JD Degree from an accredited law school required. Admission to at least one state Bar. Licensed to practice law in the State of Pennsylvania. 5-7 years of experience in property/casualty legal environment. 3+ years experience with insurance contracts and insurance regulatory matters, preferably for a financial services firm or law firm preferred. General knowledge of insurance laws, regulations, and compliance standards. General knowledge of corporate and commercial law. Demonstrated leadership and team building skills. Demonstrated initiative and self-starter. Must have excellent communication skills (written and verbal), strong analytical and problem solving skills, and strong interpersonal skills including the ability to communicate effectively and develop and maintain strong interpersonal relationships at all levels throughout the organization. Ability to work autonomously. Strong knowledge of insurance products and services. Must have demonstrated ability to function at varied levels including hands-on detail work and higher level strategic thinking. Must have a high degree of integrity and be able to maintain confidentiality. Must be able to manage multiple ongoing projects in a timely manner to meet deadlines. Effective prioritization skills and use time efficiently to develop realistic action plans. Must have working knowledge of Microsoft Excel, Word, PowerPoint and ability to learn other software packages as required.
