Associate Counsel - Securities The candidate will provide advice and counsel on SEC reporting, NYSE compliance, general corporate and general contract matters. In addition, the Associate Counsel will be responsible for entity management for the Company and its domestic subsidiaries. Advise on 1933 Act, 1934 Act, and NYSE compliance matters and draft SEC periodic filings for firm Corporation, AmeriGas Partners, L.P. and Utilities, Inc. (including 10-Ks, 10-Qs and 8-Ks for each entity). Assist with training materials for officers and company employees across the domestic business units on Federal Securities laws, confidentiality, ethics and compliance and other legal issues. Advise on Pennsylvania, Delaware and general corporate policies and governance. Support of compliance projects, as assigned. Support of Board and corporate governance matters, as assigned. Manage subsidiary governance program, including formation and maintenance of corporate entities. Law School Degree is required. Admission to the Bar is needed. Should have 2+ years of relevant legal practice experience. Knowledge of state (Pennsylvania and Delaware primarily) law regarding corporations, partnerships, and general corporate matters, federal securities laws and general contract law; oral and written communications and legal drafting, and negotiating skills.
