Executive Director and International Counsel, LTM The candidate will report directly to the company's Vice-President, Commercial and Regulatory Law. Will act as the lead business lawyer for all legal matters arising from company's business operations in the Latin American region. In line with global business objectives and legal strategy set at company headquarters, the IC serves as a business partner to senior management and to Latin America's business leaders on legal matters arising in the region, including Brazil, Mexico, Colombia, Argentina, Venezuela, Chile and other Latin American countries as the region expands. Job includes the protection and promotion of the region's business operations in compliance with laws and regulations; assessing and advising management on a range of risk management issues in the region, including FCPA and local anti-bribery and anti-corruption laws, advising on and ensuring compliance with the pharmaceutical laws and regulations in the various countries; managing sensitive investigations; directing and controlling the workflow of legal matters for the region; managing one direct report; and serving as a member of the global legal team. Act as a key influencer and an active member of the Latin America Leadership Team, closely interacts with the company business leaders, company's Latin American leadership and its staff to understand their business goals and provide them with appropriate legal risk analysis and legal advice enabling them to achieve their goals while protecting the company's reputation and operations. Directly support regional and country managers in the Latin American region. Help lead company's expansion into both new and emerging Latin American markets, in full alignment with strategies established by the General Counsel and company's Executive Steering Committee. Under the direction of the Vice-President, Global Commercial and Regulatory Law, and in coordination with company's Global Compliance Officer and the regional Compliance Officer, supports company's global compliance program, including FCPA and the ongoing SEC/DOJ investigation. Communicate and implement global legal policies in close coordination with the company Legal and Compliance Departments. Where necessary, carry out investigations under privilege. Monitor and analyze the laws and regulations that could have an impact on company operations and advises management accordingly. Find and implement business oriented, reliable solutions. Advise on a range of commercial and regulatory legal issues in Latin America. Support the continued growth of the aHUS and PNH business and the launch of the metabolics portfolio. Subject to global corporate strategic direction, draft and negotiate contracts and agreements to support company operations, including contracts relating to customers, suppliers and co-operation partners; distribution contracts; complex commercial agreements; consulting contracts; licensing agreements; real estate leases; and other legal contracts. Select and manage relationships with external legal counsel in Latin American territories. Oversee their work and ensures they deliver accurate level of service and appropriate recommendations in line with business needs. Lead litigation in the region. Prepare or manage instruction to prepare briefs, complaints, motions and other court documents, as needed. Coordinate the legal defense of company and other designated affiliates in front of courts. In coordination with company's corporate counsel in Boston, oversee and/or facilitate corporate formations, documentation, and filings. Advise, or supervise the advising of, the company Human Resources (HR) department on employment law and benefit issues. Support the company HR department and works with the Head of Global Employment Law in matters relating to employment law and investigations and assist in implementing employment policies, corrective actions and other measures as necessary across company's Latin American operations. Manage one direct report. Lead, train and develop legal and other staff to ensure that the activities are conducted accurately and ethically. Lead cross-functional workstreams and influences outside area of authority to drive projects through to completion. Contribute to the development of global legal strategy.

The candidate should be a qualified attorney (admission to the MA Bar), strong academic background with 12+ years of relevant legal experience from a law firm in an established life sciences practice and an in-house legal department in the pharmaceutical, life sciences or medical device industries, including significant in-house expertise. Undergraduate and law degrees from high quality universities required. Proven track record in building best practices for Latin American legal operations is required. Should have solid legal expertise with specific experience in corporate transactions, complex commercial contracts, sales and marketing issues, human resource issues, pharmaceutical pricing and reimbursement, and corporate compliance matters, including compliance with the Foreign Corrupt Practices Act, UK Bribery Act and other anti-corruption statutes. Fluency in English, Portuguese, and Spanish is required.
