Corporate Counsel The candidate will report directly to our Sr. Corporate Counsel and serve as an in-house counsel. You will handle transactional legal matters and projects. Will research and advise our company on legal rights and duties, assist in regulatory and compliance matters, and assist with corporate contract review. Provide redlined recommendations in company contracts and agreements. Drafting/updating of clauses and documentation for an evolving library of contract provisions and corporate policies. Support in development and implementation of various contract lifecycle management systems. Participation in the definition and development of corporate policies and procedures. Legal and regulatory compliance review, research, and advice for departments within the Company. Domestic and international corporate legal research, advice and entity legal requirements. Maintains current knowledge of applicable federal, state, and local laws and of industry legal standards and norms; analyzes how these might impact firm. Management of the company s records ensuring both legal and company compliance. Research and recommendations for company-wide record retention practices and procedures. Responsible for providing general legal support, contributing to establishing company legal policies, providing legal training, research and litigation support.

The candidate must have JD degree from an accredited institution with outstanding academic credentials and admission to a State Bar within the United States. Should have 2-5 years of corporate transactional and compliance experience. Excellent research, writing, analytical, negotiation, communication, and presentation skills is required. Proven experience drafting and negotiating contracts is required. Strong computer skills, specifically including Westlaw, Windows, Word, and PowerPoint is needed.
